Our client is a dynamic growth business with an exceptional and market leading reputation within its specialist sector. As a result of ambitious and dynamic growth plans they wish to strengthen their Corporate Mergers & Acquisitions team with the appointment of a Head of Mergers & Acquisitions to lead a team comprising Acquisitions Managers and Analysts. You will play a key role in growing and expanding this business and will report to the Chief Executive.

The Role:
  • You will lead the whole process from strategic insight and "deep dives" in terms of lines of analysis in relation to potential acquisition targets to generate valuable insight.
  • Your work will drive the strategy and action plans for our client's acquisition process. The focus will be on delivering maximum value on deal transactions.
  • You and your team will lead confirmatory legal, financial and operational due diligence and pre-deal operations, initial introduction about our client including relationship development, outlining the valuation process and terms of the deal including structure of offers and benefits mapping, opening up deal discussions, offer preparation, business plan preparation.
  • You and your team will then take a lead role in integration planning, synergy and cost savings analysis, deal negotiation (including financial aspects of legal documentation) and post-close transformation.
  • Your excellent communication, persuasion and influencing skills will ensure that you foster great relationships with target sellers, external advisors and other relevant stakeholders. Throughout the process, working with the Corporate Executive Board, you will ensure positive engagement with sellers/business owners, smooth communication and reporting on the progress of the acquisition to all stakeholders.
The Ideal Candidate:
  • The successful candidate will be a high achieving University Graduate with an excellent academic track record which demonstrates strong financial and strategic analysis skills. A MBA would be highly advantageous or post-graduate Accountancy or Corporate Finance qualifications.
  • You will possess several years' experience in strategy planning, mergers and acquisitions gained within a corporate strategy/business development function or transaction services or strategy consultancy or investment bank.
  • You will possess strong strategic and business awareness including financial skills in due diligence, valuation, working capital calculations, purchase price and the practical realities of leading a successful business.
  • You will be mature, professional, well presented and an excellent relationship builder especially when it comes to promoting and presenting our client's business to potential sellers. Therefore, you will be a proactive networker able to inspire confidence in putative sellers.
  • You will possess exceptional written communication and presentation skills.
  • Your negotiation skills and legal, financial, contractual, ethical and regulatory compliance awareness will be of the highest professional level.
  • You will have a detailed knowledge of transaction commercial and documentation issues including Sale & Purchase Agreements, Shareholder Agreements, Vendor Loan Note Agreements, Director Service Agreements and Funding documentation.
  • You must also have an understanding of funding market and lending criteria including asset based lending, cashflow/acquisition finance and private equity funding structures.
  • It goes without saying that you will be self-sufficient and possess Advanced Excel and Financial Modelling skills and will be very comfortable with working at a detailed analysis level personally.
  • You will possess a track record of project management and post-merger integration.
